Terms of Service

These Terms of Service ("Terms") govern your use of the RuffMichael Datacenter platform, including our website at ai.ruffmichael.com, our Mattermost-hosted team chat at xpi.ruffmichael.com, our API at api.ruffmichael.com, and any on-site appliance hardware we provide (collectively, the "Service"). The Service is operated by RuffMichael Ltd. Co. ("RuffMichael," "we," "us," or "our").

By creating an account or using any part of the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

• "Customer" — the individual or organization that creates an account on the Service.
• "Appliance" — the optional mini PC hardware provided by RuffMichael that connects to the Customer's local devices (printers, scanners, POS systems, IoT, cameras).
• "AI Models" — 100% true open-source models with no restrictive guardrails, powered by RuffMichael's high-performance GPU cloud.
• "Tailscale VPN" — the encrypted tunnel connecting the Appliance to RuffMichael's datacenter.

2. Account Registration

To use the Service, you must provide accurate company information, a valid email address, and a shipping address (if requesting an Appliance). You are responsible for maintaining the security of your account credentials and for all activity under your account.

You must be at least 18 years old and authorized to bind your organization to these Terms.

3. Plans and Billing

3.1 Billing Cycle

Billing is monthly in advance. Your first invoice is charged upon account activation. Subsequent charges occur on the same date each month.

3.2 Appliance Fee

If you opt into the Appliance, the monthly appliance fee begins when the device ships and continues until you return the hardware. The Appliance remains the property of RuffMichael Ltd. Co. at all times — it is leased, not sold.

3.3 Trial Period

We may offer a trial period with no credit card required. Trial accounts are limited in AI model access and do not include Appliance shipment. Trial accounts convert to paid accounts upon plan selection.

3.4 Price Changes

We may change pricing with 30 days' notice. Existing customers retain their current rate until the next billing cycle after the notice period.

3.5 Cancellation

You can cancel at any time from your dashboard. Cancellation takes effect at the end of the current billing cycle. No refunds for partial months.

4. The Appliance

4.1 Hardware

The Appliance is a mini PC pre-configured by RuffMichael. It includes:

• OpenClaw AI agent software
• CUPS (printer control)
• SANE (scanner control with OCR)
• Home Assistant (IoT control)
• Camera watcher (motion detection)
• Tailscale VPN client

4.2 Customer Responsibilities

• Provide a reliable internet connection (minimum 10 Mbps).
• Provide power to the Appliance at all times during use.
• Connect compatible USB devices (printers, scanners, POS, IoT dongles).
• Do not open, modify, or tamper with the Appliance hardware.
• Do not install additional software without RuffMichael's written consent.
• Keep the Appliance in a secure, climate-controlled location.

4.3 Return of Hardware

Upon cancellation, you must return the Appliance within 14 days. RuffMichael provides a prepaid return shipping label. If the Appliance is not returned within 30 days of cancellation, you will be charged a $200 hardware replacement fee.

4.4 Damage or Loss

You are responsible for the Appliance while it is in your possession. Damage (excluding normal wear) or loss will result in a $200 replacement fee. Stolen appliances must be reported to RuffMichael and local law enforcement within 48 hours.

5. AI Model Usage

5.1 Model Access

• Standard Intelligence LLMs — Available across all tiers. Optimized for efficient device management, routine queries, and fast execution.
• Advanced Intelligence LLMs — Reserved for Pro and Enterprise plans. Drives complex problem-solving, in-depth analysis, and high-fidelity generation.
• Offline Mode — In the event of a cloud disruption, the Appliance utilizes a local model. Critical hardware operations continue uninterrupted, with cloud-grade chat temporarily paused.

5.2 Fair Use

AI model access is subject to fair use limits. Plans include token allowances as described on the pricing page. Exceeding allowances may result in rate limiting or overage charges. We will notify you before applying any overage fees.

5.3 No Guarantee of Output Accuracy

AI models may produce incorrect or inappropriate outputs. RuffMichael does not guarantee the accuracy, reliability, or completeness of any AI-generated content. You are responsible for reviewing AI outputs before acting on them.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any law.
• Attempt to reverse engineer, decompile, or extract AI model weights.
• Resell or redistribute access to the Service without written authorization.
• Use the Service to generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Attempt to disrupt, overload, or attack the Service infrastructure.
• Use the Appliance to access or control devices that you do not own or have permission to control.
• Remove or alter any proprietary notices on the Appliance or Service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. Key points:

• AI queries are processed on RuffMichael's GPU infrastructure. Query text is temporarily cached for model inference but is not used to train models.
• Device data (printer queues, scanner output, POS sales data, IoT states) remains on the Appliance unless you explicitly share it in Mattermost channels.
• The Appliance connects to RuffMichael's datacenter via an encrypted Tailscale VPN tunnel.
• RuffMichael does not sell customer data to third parties.

8. Intellectual Property

RuffMichael retains all rights to the Service software, AI agent configurations, skill definitions, and the Appliance hardware design. Customer-generated content (messages, scanned documents, reports) belongs to the Customer.

Open-source components used in the Service (Mattermost, Home Assistant, CUPS, SANE, OpenClaw, vLLM, Llama models) retain their respective licenses.

9. Service Availability

We target 99.5% uptime for cloud services (Mattermost, AI models, API). We do not guarantee uninterrupted service and are not liable for downtime caused by:

• Internet outages at the Customer's location or our datacenter.
• GPU hardware failures.
• Scheduled maintenance (we will notify you 24 hours in advance).
• Force majeure events (natural disasters, power grid failures, civil unrest).

The Appliance's local device control features (printer, scanner, IoT) continue to function during cloud outages.

10. Support

• STANDARD — Priority email support, response within 24 hours.
• PRO — Dedicated support channel, response within 4 hours during business hours.

11. Limitation of Liability

To the maximum extent permitted by law, RuffMichael Ltd. Co. shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, data, revenue, or business opportunity.
• Damages resulting from AI-generated content or incorrect AI outputs.
• Damages from Appliance malfunction (beyond hardware replacement).
• Any amount exceeding the total fees paid by the Customer in the 3 months preceding the claim.

12. Indemnification

You agree to indemnify and hold RuffMichael Ltd. Co. harmless from any claims, damages, or expenses arising from your misuse of the Service, your violation of these Terms, or your infringement of third-party rights.

13. Termination

We may suspend or terminate your account if you violate these Terms. You may terminate at any time by cancelling your subscription and returning any Appliance hardware.

Upon termination, we will delete your account data within 30 days, except where retention is required by law.

14. Changes to These Terms

We may update these Terms from time to time. We will notify customers by email at least 30 days before material changes take effect. Continued use after the effective date constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of Georgia, USA. Any disputes will be resolved in the courts of Glynn County, Georgia.
